New - GOLA By-Laws
The
purpose of GOLA shall be to provide a
regional forum for the exchange of information and views by
it's members, to provide a mechanism for the collection of
information and statistical data, to make available the means
to educate and inform it's members concerning matters of mutual
interest and concern, to offer its members state and local promotion
and publicity, to provide its members group and/or individual
insurance, and to perform all lawful acts and such duties as will
benefit GOLA and its
members.
Not
withstanding the foregoing, the corporation will engage in no
activity incompatible with qualifying as an exempt organization
under Internal Revenue Code Section 501 (c) (3), including. further,
GOLA may make contributions or
distributions to any qualifying organization. No part of the net
earnings, properties or assets of this corporation, on dissolution
or otherwise, shall inure to the benefit of any private person or
individual or any member or director of this corporation. Any amount
remaining after paying or providing for all debts and
obligations shall be distributed and paid over to such fimd,
foundation or corporation organized and operated for educational or
charitable purposes as the board of directors shall determine,
and shall at the time qualify as a tax-exempt organization under
Internal Revenue Code Section 501 (c) (3), or as the same may be
amended.
The
corporation shall have a duration of at least ten years from the
date of filing of these articles.
Rights And
Liabilities of Members: The members of this corporation
shall have no rights, title, or interest whatsoever in its income,
property, or assets, nor shall any portion of such income, property,
or assets be distributed to any member on the dissolution of this
corporation. Members of this corporation shall not be personally
liable for the debts, liabilities, or obligations of the
corporation, nor shall any member be subject to any
assessment. |
